1. AGREEMENT TO TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you and Juno Life, LLC ("Juno," "Meet Juno," "meetjuno.com," "we," "us," or "our"), a Delaware limited liability company, governing your access to and use of the Juno platform, including any associated mobile applications, websites, and services (collectively, the "Service").
1.1. Key Definitions
For purposes of these Terms:
- "Sidekicks" means our trained human assistants who complete tasks on your behalf
- "Vault" means our secure, encrypted storage system for sensitive information
- "Service" means the Juno platform and all associated features and services
2. SERVICE DESCRIPTION AND LIMITATIONS
2.1. Platform Overview
Juno provides a personal task completion and life management platform that combines human assistance with AI technology. Our Service includes:
- Task completion by trained human assistants ("Sidekicks")
- Communication on your behalf via phone, email, and other channels
- Secure data storage through our encrypted Vault system
- AI-powered task processing and optimization
- Payment processing for authorized purchases
We retain sole discretion to accept or decline any task, determine appropriate methods for task completion, set response times and service levels, and modify or discontinue any aspect of the Service.
2.2. Service Boundaries
We do not provide:
- Emergency services or urgent medical assistance
- Licensed professional services (legal, medical, financial advice)
- Physical errands requiring in-person presence
- Services that violate applicable laws or regulations
- Childcare or eldercare provider interviews or booking
THE SERVICE IS NOT INTENDED FOR EMERGENCY USE AND SHOULD NOT BE RELIED UPON IN URGENT OR LIFE-THREATENING SITUATIONS.
3. AUTHORIZATION AND AGENCY
3.1. Scope of Authorization
By using the Service, you expressly authorize Juno and its Sidekicks to act as your agent in completing requested tasks. This authorization constitutes a legally binding agency relationship that is essential to our ability to provide effective assistance with your personal and household tasks.
Your authorization specifically includes our right to make phone calls and send communications on your behalf, access accounts and services using credentials you provide through our secure Vault system, share necessary information (including Vault data when authorized) with third parties to complete tasks, make reasonable decisions within the scope of your specific task instructions, and create accounts or bookings as needed for task completion. You acknowledge that this broad authorization is necessary for us to effectively complete the wide variety of tasks you may request.
3.2. Vault Data Authorization
When you add information to your Vault or attach Vault items to a task, you expressly authorize us to access and use that information solely for the specific task to which it is attached. This authorization includes our right to share the information with third parties as necessary to complete the task, view and reference the information during task execution, and use the information to make reasonable decisions on your behalf within the scope of the task.
You understand that Vault access is limited to assigned Sidekicks working on your specific tasks and is comprehensively logged for security and audit purposes. Access is automatically revoked upon task completion, and we maintain detailed records of all Vault interactions that you can review at any time through your account dashboard.
3.3. Communication and Recording
You acknowledge and consent to:
- Our use of proxy phone numbers and email addresses for task communication and completion
- Recording and transcription of communications for quality assurance
- Automated processing of communications and task-related content
- Representation of you in communications with third parties as necessary
You agree to inform any parties we contact on your behalf that communications may be recorded.
4. SECURITY AND DATA PROTECTION
4.1. Vault Security System
Our Vault feature provides military-grade encryption for sensitive information using envelope encryption technology. Each piece of data you store in your Vault is protected with its own unique encryption key, which is itself encrypted and managed through AWS Key Management Service (KMS). We use AES-256 encryption standards and maintain a zero-knowledge architecture where encrypted data cannot be accessed without proper authorization from you.
All Vault interactions are comprehensively logged with detailed audit trails that track when information was accessed, by whom, for what purpose, and for how long. Access is automatically revoked upon task completion, and you maintain complete control to grant or revoke access at any time. Importantly, your Vault data is never processed by AI systems—all access and use is handled by human Sidekicks only.
4.2. Data Protection Measures
We implement comprehensive security measures including:
- End-to-end encryption for data transmission and storage
- Regular third-party security audits and penetration testing
- Continuous monitoring and threat detection
- Secure infrastructure hosted in AWS data centers
4.3. Security Incident Response
In the event of a confirmed security incident affecting your data, we will:
- Notify you within 72 hours of confirmation
- Provide details about the nature and scope of the incident
- Take immediate remediation steps
- Cooperate with any investigation you wish to conduct
- Implement additional safeguards to prevent recurrence
5. TASK EXECUTION AND PAYMENTS
5.1. Task Completion
We will execute accepted tasks using reasonable skill and care, employing both human judgment and AI assistance as appropriate. Task completion may involve:
- Research and information gathering
- Communication with third parties
- Account management and coordination
- Booking and scheduling services
5.2. Purchase Authorization and Process
For tasks requiring purchases:
- We will request your approval before any purchase
- You must approve all purchases through our secure authorization system
- We make purchases using our own payment methods and invoice you
- We use Stripe as a payment processor, and encrypt sensitive card information, never seeing your full card details
- All purchases are subject to a maximum of $1,000 per transaction
- You are responsible for all authorized purchases and related taxes
5.3. Task Liability Limitations
Our liability for any individual task is limited to the fees paid for that specific task. We are not liable for:
- Outcomes beyond our direct control
- Third-party service failures or delays
- Changes in pricing or availability after task initiation
- Consequential damages arising from task execution
5.4. Third-Party Services and Suppliers
When we arrange services with third-party providers on your behalf, we act as your agent in sourcing and coordinating these services, but we are not responsible for the actions, quality, or performance of third-party suppliers. While we use reasonable care in selecting suppliers and ensuring orders are placed according to your instructions, we do not guarantee or endorse any third-party products or services.
You acknowledge and agree that:
- Any contracts with third-party suppliers are exclusively between you and the supplier
- You are responsible for any cancellation fees or charges imposed by suppliers
- We are not liable for supplier actions, failures, or defects in their products or services
- You must inform us immediately if you wish to cancel any booking or are unable to honor appointments
- You hold us harmless from any losses or harm resulting from third-party services, even if we facilitated the arrangement
6. AI USAGE AND LIMITATIONS
6.1. AI Integration
Our Service incorporates AI technology from providers including OpenAI and Anthropic to:
- Process and route tasks efficiently
- Generate initial research and drafts for Sidekick review
- Optimize task completion workflows
- Provide enhanced service capabilities
6.2. AI Limitations
You acknowledge that:
- All AI outputs are reviewed by human Sidekicks before action
- AI-generated content may contain errors or inaccuracies
- We do not use your data to train third-party AI models, and Vault items are always redacted, only visible to you and the Sidekick working on your task
- Final decisions and actions are made by human team members
7. FEES AND BILLING
7.1. Subscription Fees
Service fees are charged monthly in advance based on your selected plan. Additional usage beyond plan limits will be billed at applicable overage rates. All fees are non-refundable except as required by law.
7.2. Purchase Billing
Authorized purchases are billed separately through our secure invoice system. Payment is required before purchase completion.
7.3. Payment Methods
You must maintain valid payment information for automatic billing. Service is suspended immediately for overdue payments.
7.4. Affiliate Commissions
Some purchases made on your behalf may generate affiliate commissions or referral fees that help support Juno's operations. These commissions do not affect the cost or quality of items we recommend or purchase for you, and we will always prioritize your best interests in our recommendations.
8. PROHIBITED ACTIVITIES
You may not:
- Use the Service for illegal activities or violations of third-party terms
- Submit emergency requests or time-sensitive medical needs
- Share account credentials with unauthorized users
- Attempt to bypass security measures or access others' data
- Submit false claims about security breaches or service failures
- Use the Service to harass, threaten, or harm others
- Request services requiring professional licenses we do not hold
9. SIDEKICK PROTECTION AND USER RESPONSIBILITIES
9.1. Professional Treatment Standards
You agree to treat all Sidekicks with respect and professionalism in all interactions. This includes providing clear, complete, and accurate instructions for tasks, responding promptly to reasonable clarifying questions, and accepting that Sidekicks may decline requests that are inappropriate, outside our service scope, or potentially harmful.
Our Sidekicks are professional service providers who deserve the same courtesy and respect you would show to any other professional assisting you. Failure to maintain professional standards may result in suspension or termination of your service.
You acknowledge that we are not liable for any loss, damage, costs, or expenses arising from instructions that are incomplete, incorrect, inaccurate, or arrive late, or from any other fault in your communications with us.
9.2. Prohibited Interactions
You may not:
- Request personal contact information from Sidekicks
- Attempt to hire Sidekicks independently
- Make personal requests unrelated to legitimate tasks
- Use abusive, threatening, or discriminatory language
9.3. Sidekick Protection and Immediate Termination
We maintain a zero-tolerance policy for any behavior that threatens the safety, well-being, or professional working environment of our team members. We reserve the right to immediately suspend or terminate service, without notice or refund, for any behavior that threatens the safety or well-being of our team members, violates workplace harassment or discrimination standards, attempts to circumvent our service platform or hire Sidekicks independently, or creates a hostile work environment.
These protections are essential to maintaining a safe and professional environment for our team members and ensuring consistent, high-quality service for all users.
10. TERM AND TERMINATION
10.1. Service Term
Service continues on a monthly basis until terminated by either party within 24 hours of notice, or immediately due to violations of these Terms.
We may suspend or terminate your access to the Service immediately, at any time, for any reason at our sole discretion, including but not limited to:
- Violation of these Terms
- Use of the Service in a manner that creates liability for us
- Failure to pay fees when due
- Abusive behavior toward our team members
- Any use we determine, in our sole discretion, to be inappropriate
We will not have any liability to you for termination of your access, including termination of your account or deletion of your data.
10.2. Effect of Termination
Upon termination:
- Access to the Service ends immediately
- Outstanding invoices become due
- Data export is available for 30 days
- All data, including Vault data, is permanently deleted after 30 days
- All confidentiality obligations survive termination
11. LIMITATION OF LIABILITY
11.1. Liability Cap
OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE CLAIM.
11.2. Excluded Damages
We are not liable for:
- Indirect, incidental, or consequential damages
- Lost profits or business opportunities
- Data loss (except as covered by our backup policies)
- Service interruptions due to circumstances beyond our control
- Third-party actions or decisions
11.3. Risk Allocation
These limitations reflect the fees charged and are an essential part of our agreement. The Service is provided at a consumer-friendly price point that requires these risk allocations.
12. INDEMNIFICATION
You agree to indemnify us against claims arising from:
- Your violation of these Terms or applicable laws
- Your instructions or requests that violate third-party rights
- False claims about security breaches or service failures
- Misuse of information we provide in good faith
- Your failure to pay for authorized purchases
- Any breach of your representations and warranties in these Terms
- Any harmful acts toward other users or our team members
- Your use of third-party services arranged through our platform
- Incomplete, incorrect, or late instructions that result in damages
We reserve the right, at your expense, to assume exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
13. DISPUTE RESOLUTION
13.1. Governing Law
These Terms are governed by Delaware law, without regard to conflict of laws principles.
13.2. Informal Resolution
Before initiating formal proceedings, you agree to contact us at help@meetjuno.com to attempt resolution through discussion.
13.3. Jurisdiction
Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of courts in San Diego County, California.
14. FORCE MAJEURE
We shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government actions, network failures, or other force majeure events. We will resume performance as soon as reasonably possible after such circumstances cease to exist.
15. GENERAL PROVISIONS
15.1. Modifications
We may update these Terms with 30 days' notice for material changes. Continued use of the Service constitutes acceptance of updated Terms.
15.2. Entire Agreement
These Terms constitute the complete agreement between you and Juno regarding the Service.
15.3. Severability
Invalid provisions will be reformed to the minimum extent necessary to make them enforceable.
15.4. Electronic Records
Our system logs constitute conclusive evidence of Service activities and may be maintained electronically.
